What is the NY LLC publication requirement and what does it cost in the Bronx?
Every LLC formed in New York State must publish a notice of formation in two newspapers for six consecutive weeks. This comes from NY LLC Law §206 and applies to every new LLC regardless of size or industry. In the Bronx, the total cost for publication typically runs between $1,050 and $1,850 when you include the filing fee.
The Bronx County Clerk designates which two newspapers you’re required to use. One will be a daily paper and one a weekly. You don’t get to choose your own. After filing your Articles of Organization with the NY Department of State, contact the Bronx County Clerk’s office to find out which newspapers are currently designated for your publication.
You have 120 days from the date your LLC is formed to complete this requirement. That means the full six weeks of newspaper publication needs to wrap up within that window. Don’t wait until month three to start because newspapers need lead time to schedule your notice and any delay could push you past the deadline.
The newspaper charges themselves typically fall between $1,000 and $1,800 in the Bronx. This is actually lower than Manhattan, where publication can run over $2,000. On top of the newspaper fees, you’ll pay a $50 Certificate of Publication filing fee to the Department of State. Some business owners form their LLC in a county with cheaper publication costs like Albany or Sullivan County, but that adds complexity and may not make sense for a Bronx-based operation.
Once both newspapers have run your notice for the full six weeks, each one will provide an affidavit of publication. You submit those affidavits along with a Certificate of Publication and the $50 fee to the Department of State. That completes the requirement.
If you skip publication or miss the 120-day deadline, your LLC won’t dissolve, but the state can suspend its authority to bring lawsuits in New York courts. That means if a customer doesn’t pay you or you need to enforce a contract, you could be blocked from taking legal action until you go back and satisfy the requirement. It’s not worth the risk over something that’s ultimately just paperwork and a fee.
This is one of those startup costs that catches new business owners off guard. It feels like an expensive formality, but it’s not optional. Budget for it alongside your other formation costs like your filing fee and registered agent.
